Background This Senior Legal Counsel role is a critical position in Abbott Greater China legal team, aimed mainly at (i) providing strong legal support to the relevant Abbott China businesses with rapid growth and increasing exposures, and (ii) contributing to the continuous development of Abbott Greater China legal team as well as supporting other ad hoc legal projects and/or matters.

Role Summary Abbott seeks a strong and talented Senior Legal Counsel to join its Greater China Legal Team.

Reporting to the Greater China Legal Head, this lawyer must have the ability to operate and manage matters and situations independently and diligently in a dynamic environment to work proactively and collaboratively with various teams across the organization, including other members within the Greater China and global legal teams, various businesses of Abbott in China and other corporate functions, etc.

Duties will include (i) analysis and provision of complex legal advice and counsel focused on balanced business-oriented solutions to senior legal leaders, local management and relevant functional teams on a variety of matters including litigation, fair-competition, anti-trust and trade regulations, commercial and general corporate matters, labor and industrial disputes, government investigations and compliance, (ii) management of various legal matters/projects, internal and external resources, and (iii) support businesses to grow in a healthy environment, minimize legal exposures and protect Abbott name and reputation.

The successful candidate would have experience working as in-house counsel in highly-regulated industries, exposure to different legal areas, a strong influencer with effective communication skills, and a dynamic people leader.

This position will be based in the headquarter office of Abbott China in downtown of Shanghai.

Principal Duties and Responsibilities (Essential Functions) In addition to the above, the lawyer must be able to: Assess business’s structures and models and provide advice that reduces legal risks and liabilities.

Identify complex legal issues and provide proactive, value-added and practical legal advice as well as balanced solutions and/or preventive proposals.

Negotiate independently on significant legal matters and areas of importance to management.

Prepare and negotiate various commercial agreements such as distribution, co-promotion, in-licensing, marketing and sales, acquisition and divestment.

Resolve complex legal matters and projects with minimal supervision.

Support significant internal investigations, represent Abbott in external investigations, independently handle government action related matters as well as assist business to develop and implement appropriate SOPs to effectively manage such investigations.

Thoroughly and comprehensively understand relevant topics and be able to exert good judgment, even in grey areas, with a result-oriented attitude.

Gain a solid knowledge of Abbott’s businesses and the broader business impact of decisions made; keep abreast of changes in laws and enforcement trends that affect client areas and represent Abbott externally to customers, suppliers, competitors or government agencies.

Work with other legal members and compliance teams to provide precise and balanced advice and facilitate policy and practice improvement projects in China.

Provides proactive commercial and compliance related services, including internal education and training with respect to matters coming within the area of responsibility.

Under supervision of the Greater China Legal Head, direct the work of outside counsel, define project objectives, and manage projects and legal spending.

Provide effective coaching, training and mentoring to junior team members.

Performs other duties and responsibilities assigned from time to time.

Key objectives and performance measures for this position will be to: Represent businesses to handle AMR and other government investigations.

Advise on regulatory, commercial and compliance needs of the relevant Abbott divisions, including product safety, product registration and ethical promotion and marketing of Abbott products.

Provide legal support for business development initiatives in China.

Manage claims, disputes, mediations, litigation and arbitrations.

Prepare and negotiate major commercial/legal documents and establish a document review process and a template database, as well as train the business on how best to utilize local legal resources.

Contribute to the process and practice improvement initiatives in China.

Operate within the appropriate designated budget, including management of outside counsel expenses.

Background & Experience:14+ years of relevant experience working in a multinational corporation and/or for a leading law firm.

Experience with healthcare, medical device and pharmaceutical business is a plus but not a must.

PRC law degree from a reputable university/law school.

Additional law degree in US, UK or other major common law jurisdictions is preferable but not a must.

PRC bar qualification is required.

Additional bar qualification in other jurisdictions is preferred but not a must.

Ability to travel throughout Greater China, and some travel to Asia and the United States as required.
